DirectTV is phasing it out. Disagreement with Sony. Their new DVR is due out this Spring. We're waiting for that one instead of shelling out $1k on phased out technology. But I'm not as big on spending money as NHF is, so factor that into the analysis.

I'm with you -- although it is possible that it will all work out just peachy, the high downside risk simply isn't worth it. I'd suggest to Friend #1 that she/he look for another contract gig if he/she really wants out of the BigFirm treadmill. Friend #2 ought to be smart enough to realize this, and ought to tell #1 that The Man is tight with the relationship partner at the outside firm, and she/he can't outsource the project.

Enourage Friend #2 to take the job, undermine Friend #1, and take Friend #1's job. Friend No. 1 needs the time off anyways, and you'll have done them both a favor.
