Our tech transfer/sponsored projects people are SUPER busy right now, and I've been doing a ton of data deals to the point we're developing new processes for getting those done quickly. Our campus is pretty closed, except for the clinical folk, right now.

The tech transfer folks I deal with are very busy, but part of it is the presence of a lot of deals that are just plain weird. Licensees with complex structures, people positioning themselves for SPAC funding, licensees doing restructuring in connection with an investment. It may be these are just the things I see, but there is a lot of drawing outside the lines going on right now, more than usual, and that just eats up time. I did a little presentation on SPACs and complex structures as a favor to one institution to try to help them get more control of it and had people pinging me about their deals in the middle of the presentation.

Wow. Seeing what other people have done with a law degree makes me see how little I have done.

That's like calculus and my place is single-digit numeral arithmetic.

It's hard to believe that my place has literally made _Billions_ from claiming companies didn't warn about dangers from a product that caused disease in one in a million people, while doing jack shit to prevent the spread of a disease that affected nearly one in ten and killed nearly 2% of the people that had it.

In college I mostly played Ms. Pac Man. I've actually gotten laid by impressing em by putting down a high score. My engineering studies suffered, c'est la vie!

So my undergraduate work never really came up in my work. But 4 years ago I filed a patent lawsuit on a patent for a joystick for construction equipment (Bobcats). It was the first time my college efforts helped in my work life.

My client base is heavily companies with in-house IP staffing. They send out little agreement work. They like agreement work. Honestly I don't get that. I really don't like agreement work, but I know it must be me, because my clients all hog it up- they love it.

Like the whole SPAC craze sounds really sexy and sophisticated, but it is, fundamentally, all about selling people on vapor. They all have no business at all, just a plan to buy one.

Yes, the snake-oil salespeople now have a lot of money and need to do something with it. That is going to keep a lot of us busy for a while.

The key is to make sure you end up either with the cash or in control when the dust settles, because most of the folks putting these together know a lot more about how to separate people from their money than how to run a company.

It's crazy, but then I spent far more time than I would have preferred in Fort Wayne, IN doing an "independent" investigation on behalf of the board of a too-hastily cobbled together and taken public company a long time ago. Hard to believe that isn't in the cards for a good number of these SPAC. A lot of private companies just do not have the controls they need to suddenly become public.

I spent a night in Winnemucca once, and thought it was going to be the whole weekend. Miraculously, on Saturday morning the repair shop said they had found a Saab radiator part (a pre-GM Saab, too), and we were on our way. Later, when it failed again, we figured out that he had jerry-rigged some non-Saab part with a lot of tape, but by then we had made it to happier places with more Saab mechanics and fewer convenience-store casinos.
